1. Agreement to these terms

These Terms of Sale (the “Terms”) are a binding agreement between you and Raknida Inc. (“Raknida,” “we,” “us” or “our”), a US company operating from St. Louis, Missouri. They govern what you buy through raknida.com (the “Site”).

Scope. These Terms cover purchases on the Site: Studio, Collector and Limited Edition artworks, framing, and orders under the Raknida Trade program. Signature works and hospitality or corporate projects are agreed separately, as set out in Signature works and Trade and project orders.

By placing an order or creating an account, you agree to these Terms, our Privacy Policy and our Replacement Policy. Both policies form part of these Terms. If you do not agree, please do not place an order.

2. Eligibility and where we ship

You must be at least 18 and able to form a binding contract. By ordering, you confirm this and that the details you give us are accurate and complete.

We ship to US addresses. Outside the US? Contact us for a delivered quote — duties and import taxes included, so nothing is due on arrival.

3. The products

Raknida sells fine-art prints by named artists in four tiers: Studio Edition, Collector Edition, Limited Edition and Signature. Every artwork comes with a Cultural Passport.

Each artwork is made to order by our fine-art print partner, as a museum-quality giclée on museum-grade cotton fine art paper with archival pigment inks. We hold no finished stock.

Each artwork comes as a Museum-Quality Print only or Framed in Black, White or Wood. Framing is optional and is charged as its own line.

Colours, texture and scale on screen are approximate and vary with your display and lighting. Slight variation is part of fine-art printing and is not a defect.

Descriptions, sizes, finishes and prices may change, and we may correct errors at any time.

4. Editions and numbering

Every artwork is numbered. The number is printed in the border from a file made for that number, assigned in sequence when your order is fulfilled.

Each work has a fixed edition in each size it is offered in:

  • Studio Edition: up to 20 per size. A further run is possible once a size sells out.
  • Collector Edition: up to 10 per size, with a digital Certificate of Authenticity. A further run is possible once a size sells out.
  • Limited Edition: up to 5 per size, with a Certificate of Authenticity signed by the curator or founder and mailed separately. Never rerun.
  • Signature Edition: an edition of 1 to 5 in a single size, framed, with a Certificate of Authenticity. Never rerun.

A further run is never automatic. It is labelled on the listing, the artwork and its Passport, for example “Collector Edition · Run 2 · 03/10”, and its numbering starts again. Every listing states the edition in the chosen size and across all sizes.

Studio and Collector edition numbers count the works sold through Raknida. The artist may also sell their own editions of these works.

A replacement carries the original’s number, so the original cannot stay in circulation. For damage or defects we ask for a photo showing it destroyed; a wrong item comes back at our cost. See our Replacement Policy.

5. The Cultural Passport

Every artwork comes with a Cultural Passport: a digital record of the work’s story, the tradition it draws on and how it was made. We email it when your artwork ships, one per artwork, sized 5 × 7 in (13 × 18 cm) to print and frame. It is provided for provenance and education.

Signature works and project orders receive a printed Passport, as set out in their own terms.

The Passport does not guarantee monetary value or resale price. It does not transfer copyright or any reproduction rights.

6. Orders and order acceptance

Your order is an offer to buy. A contract forms only when we accept it, which happens when we confirm the order and begin production. Submitting payment or receiving an automatic acknowledgement is not acceptance.

We may refuse or cancel an order if it was listed in error, if we suspect fraud, or if we cannot fulfil it. If we cancel an order you have paid for, we refund the cancelled items in full.

7. Pricing and payment

Prices are in US dollars and exclude sales tax, which is calculated at checkout from your delivery address.

We accept the payment methods shown at checkout, processed by our payment providers. Payment is taken at checkout. By paying, you confirm you are authorized to use the method you chose.

Trade discounts apply to artworks in size M and up only. Small (S) artworks, framing, shipping and other services are always charged at standard rates.

Trade Pro and Trade Partner members may get Net 30 or Net 60 terms on qualifying orders, as set out on our Trade Program page. We are not responsible for fees your bank or card issuer charges.

8. Shipping and delivery

Every artwork is made to order, so delivery time is production plus transit: usually 7–14 business days in the US, or 14–21 for framed orders. Dates shown on product pages and at checkout are estimates, not guarantees.

Shipping is charged by order value at checkout and is free on orders of $150 or more. Rates are on our Shipping & Delivery page.

Please give a complete, accurate address. If an order comes back to us as undeliverable, we refund it in full, less the original shipping.

We are not liable for delays caused by carriers, weather or other events beyond our reasonable control. Risk of loss and title pass to you on delivery to the address you give us.

9. Cancellations, replacements and returns

Cancellations. You may cancel for a full refund within 24 hours of ordering, as long as production has not begun. After that, an order cannot be cancelled or refunded, except under the promises below.

Replacements. If an artwork arrives damaged, defective, wrong or significantly not as described, tell us within 7 days of carrier-confirmed delivery. We replace it free under our Replacement Policy.

Change of mind. Studio and Collector Edition works ordered as Museum-Quality Print only may come back within 30 days of carrier-confirmed delivery, in the condition they arrived. Exchange for another work or size, or take store credit at the artwork price, valid 6 months.

Any price difference on an exchange is charged or kept as credit. You pay return shipping. One credited return per customer every 12 months. Framing, shipping, Limited Edition, Signature, Trade and project orders are not eligible.

10. Signature works

Signature works are never sold through the cart. Ask for one with Request this work, and a curator replies within two business days. See Signature.

Signature has three paths: Editions, Originals and Commissions. When a curator approves your request, we send you a secure checkout link that confirms the work, price and delivery. The link holds the work for 72 hours. Nothing is charged until you pay through that link. Those confirmed terms apply alongside these Terms and control where they differ.

Auctions. A Signature work may be offered at auction instead. Its page shows the opening bid, the closing time and the minimum step between bids. A bid in the final minutes extends the close, as the page states. A bid is a commitment to buy at that price if it wins.

If the reserve is met, the winning bidder receives a secure checkout link. The work is held for them for 72 hours from that link. We send reminders before the hold ends, and a curator may extend it once. If it is not paid in time, we may offer it to the next highest bidder at their own bid, if it meets the reserve. Otherwise, we may offer the work again. If the reserve is not met, the work is not sold. For an edition, number 1 is auctioned; the remaining numbers are then offered at the final sale price, never below the reserve.

11. Trade and project orders

The Raknida Trade program has three tiers: Trade Standard, Trade Pro and Trade Partner. Trade orders on the Site follow these Terms plus the terms of your tier: its discount, any Net terms and any credit limit. Where they conflict on a trade order, the tier terms control.

Trade orders are made to order. They cannot be refunded once production has begun, and change-of-mind returns do not apply. Net terms are offered at our discretion and may be reviewed, suspended or withdrawn.

Hospitality and corporate projects are not governed by these Terms. Each is agreed under our Master Services Agreement and a statement of work for that project, which set payment, acceptance, installation, damage handling and disputes. To start a project, email trade@raknida.com.

12. Intellectual property

Copyright in every artwork stays with its artist or rights holder. Buying a fine art print does not transfer copyright or any right to reproduce it.

You may display your artwork in your home or business. You may not reproduce, scan, photograph for distribution, sublicense or adapt the artwork, or exploit it commercially, without the rights holder’s written permission.

“Raknida,” the Raknida logo, the Cultural Passport and related names and marks are trademarks of Raknida Inc. Please do not use them without our written consent. All Site content, including text, design, graphics and code, is owned by or licensed to Raknida.

13. Promotions, gift cards and codes

Promotions, discount codes and gift cards follow any terms stated when they are issued. They cannot be combined unless stated, have no cash value except where the law requires, and may be changed or withdrawn.

Small (S) artworks — a long side of 12 in or less — are always sold at full price. No sale price, trade discount or automatic promotion applies to them, unless the terms of a set or a discount code say otherwise.

Gift cards cannot be reloaded or exchanged for cash, except where the law requires.

14. Warranties and disclaimers

Our only warranty is the replacement remedy in our Replacement Policy, plus any rights the law does not let us exclude. Otherwise, to the fullest extent the law allows, the Site, products and services are provided “as is” and “as available.”

We disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Site will be uninterrupted or error-free, or that on-screen colours will exactly match your artwork.

15. Limitation of liability

To the fullest extent the law allows, Raknida and its people, artists and partners are not liable for indirect, incidental, special, consequential or punitive damages. Nor are they liable for lost profits, revenue, data or goodwill arising from your purchase or use of the Site.

Our total liability for any claim about an order is limited to the amount you paid for the products behind the claim. Some places do not allow these limits, so some may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless Raknida and its officers, employees, artists and partners against claims, damages, liabilities and reasonable costs, including legal fees. This applies where they arise from your breach of these Terms, misuse of the products or Site, or breach of any law or third-party right.

17. Governing law and disputes

These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.

Before bringing a formal claim, please contact us at hello@raknida.com so we can try to resolve it informally. Any dispute not resolved that way goes to the state and federal courts in St. Louis, Missouri, which have exclusive jurisdiction.

18. Privacy

Our Privacy Policy explains what personal information we collect, how we use and share it, and the choices and rights you have.

19. Changes to these terms

We may update these Terms from time to time. Changes take effect when posted with a new “Last updated” date. The version in effect when you order governs that order.

20. General

If any provision is found unenforceable, the rest stay in effect. Not enforcing a provision is not a waiver of it.

You may not assign these Terms without our consent; we may assign them in a merger, acquisition or sale of assets. These Terms and the policies they name are the entire agreement about your purchase. We are not liable for failures or delays caused by events beyond our reasonable control.

21. Contact us

Questions about these Terms: Raknida Inc., St. Louis, Missouri, USA — hello@raknida.com. For trade and projects: trade@raknida.com.
